Job Overview

We are seeking a meticulous and experienced Corporate Governance and Compliance Officer to join our Risk Advisory team in Ntcheu. This role is central to advising our clients on establishing and maintaining robust governance structures, ensuring regulatory compliance, and implementing effective risk management practices. Key Responsibilities

  • Develop, implement, and monitor corporate governance frameworks, policies, and procedures for client organizations.
  • Conduct compliance audits and risk assessments to identify gaps and recommend corrective actions.
  • Advise boards of directors and senior management on governance best practices, fiduciary duties, and regulatory obligations.
  • Prepare and submit regulatory reports and ensure timely compliance with all statutory requirements.
  • Design and deliver training programs on corporate governance, ethics, and compliance for client staff and board members.
  • Stay abreast of changes in local and international laws, regulations, and standards affecting client industries.
  • Facilitate board evaluations and assist in improving board effectiveness and composition.
  • Manage whistleblowing mechanisms and investigate reports of non-compliance or ethical breaches.
  • Liaise with regulatory bodies and external auditors on behalf of clients during compliance reviews.
  • Prepare detailed reports and presentations for senior stakeholders on governance and compliance status.

Required Skills

  • In-depth knowledge of corporate governance codes, company law, and regulatory frameworks in Malawi and internationally.
  • Strong analytical and problem-solving skills with the ability to interpret complex legal and regulatory texts.
  • Excellent communication and interpersonal skills for effective stakeholder engagement and training delivery.
  • High ethical standards and integrity with a commitment to confidentiality and professional discretion.
  • Proficient in using compliance management software and Microsoft Office Suite.
  • Project management skills with the ability to handle multiple client engagements simultaneously.
  • Attention to detail and a methodical approach to documentation and process review.

Education

A Bachelor’s degree in Law, Business Administration, Finance, Corporate Governance, or a related field is required. A postgraduate qualification or professional certification such as Chartered Secretary (ICSA), Certified Compliance & Ethics Professional (CCEP), or similar is highly desirable. Continuous professional development in areas of governance, risk, and compliance is expected.

Experience

A minimum of 5 to 8 years of progressive experience in corporate governance, compliance, risk management, or company secretarial functions. Experience must include working within a professional services firm, a corporate legal department, or a regulatory body. Proven track record in developing governance frameworks, conducting compliance audits, and advising senior leadership is essential. Experience in the Malawian business and regulatory context is a significant advantage.
